GENERAL MANAGER'S RECOMMENDATION:
That the Board approve an engagement letter from the audlting
flrm of Teaman,Ramirez &Smlth,Inc.{TRS)to provlde audit
serV1ces to the District for the Fiscal Year Ending June 30,
2006.
COMMITTEE ACTION:
Please see Attachment A.
PURPOSE:
To retain the serV1ces of Teaman,Ram1rez &Sffi1th,Inc.to serve
as the Dlstrlct's aud1tors for the F1scal Year end1ng June 30,
2006.
ANALYSIS:
The District is requlred to retain the services of an
independent accountlng f1rm to perform an audit of the
Dlstrlct's financial records each year.The Board has approved
TRS as the Dlstrict's auditors for the last two years (FY 2004 &
2005).It 1S the D~strict's practlce to keep the same audltors
for 3-5 years,with an annual renewal of the retalner.
Staff 1S recommending the appo1ntment of Teaman,Ramlrez &
Smlth,Inc.based on their knowledge of the D1strlct's
operatlons and finances,their technical quallfications,and
thelr performance as the Dlstrlct's auditors for the last two
flscal years.Also,in our successful efforts to prepare an
award-winning Comprehenslve Annual Flnanclal Report (CAFR),
staff has soliclted the advice of TRS who has had slgnlficant
experience In award-winnlng CAFR preparat1on.
FISCAL IMPACT:
The fee for auditlng services and preparation of the State
Controller's Report w~ll not exceed $24,800 for the Flscal Year
endlng June 30,2005.This is an lncrease of $500 (or 2%)over
last year's fee.

Requlred by law.

GENERAL MANAGER'S RECOMMENDATION:
That the Board authorlze the General Manager to execute
Amendment No.1 wlth Verlzon Wlreless (VAW)LLC (Verlzon),
(successor In lnterest to Alrtouch Cellular)as Tenant,for the
expanslon of thelr lease area and lnstallatlon of an emergency
back-up generator and storage tank (Attachment 1),to the
existlng lease agreement for a cellular facllity located at the
1200-1 Reservolr (Attachment 2).Monthly lease payments wlll
increase ln the amount of $155.00 to $2,398.40 WhlCh equates to
6.9%.
See attached Exhlblt A for proJect locatlon.

PURPOSE:
To obtaln Board authorlzatlon for the General Manager to execute
Amendment No.1 wlth Verizon to ltS eXlstlng lease agreement for
the 1200-1 Reservolr slte executed on September 6,2000.ThlS
amendment wlll expand the eXlstlng equlpment lease area by 30
square feet,to a new total lease space area of 465 square feet.
ThlS expanSlon wlll allow Verlzon to add an emergency back-up
generator and storage tank.
FISCAL IMPACT:
ANALYSIS:
Verlzon wlil be lnstaillng an emergency back-up generator and
storage tank wlthln ltS expanded lease area to lnsure continulty
of cellular serVlce In the event of a cornmerclal power fa1lure.
Verlzon wlil be responslble for all permlts and approvals
requlred for the lnstallatlon of the generator/dlesel englne
equlpped wlth an lntegral 132 gallon capaclty,double wall fuel
storage tank and a 198 gallon,secondary splil contalnment
system.Add1tl0nally,the entlre generator and assoclated
equlpment package wlll rest ln a concrete contalnment pad wlth
an approxlmate 200 gallon splil contalnment capaclty.The
Dlstrlct wlli recelve coples of constructlon drawlngs,all
permlts,and approvals by local regulatory agencles prlor to
grantlng permlsslon to start construction.Staff agrees wlth
the content and purpose of thlS amendment.

Authorlzatlon of thlS amendment wlil lnclude an lncrease ln rent
of $155.00 per month for a total of $2,398.40 per month,WhlCh
equates to a 6.9%lncrease ln the current monthly rate.The
flrst five-year perlod 1n the agreement wlil end In March 2006.
The tenant has the optlon to extend the term for and addltlonal
four flve-year perlods.
The Dlstrlct wlil recelve a non-refundable admlnlstratlve fee of
$4,500.00 upon executlon of thlS amendment by both partles.
ThlS one t1me admlnlstratlve fee wl11 re1mburse the Dlstrlct for
costs of revlewlng deslgn plans and coordlnatlon of
constructlon.
LEGAL IMPACT:
The Dlstrlct's Lease Agreement and proposed Amendment No.1 has
been rev1ewed by our legal counsel.D1strlct Counsel has been
an lntegral part 10 the negotiatlons and constructlon of the
orlglnal agreement and th1S amendment.

Tlns Amendment No 1 (the "Amendment")to the Agreement Between Arrtouch
Cellular dba Venzon WIreless and Otay Water DIstnct to Locate a CommumcatlOns
FacIlIty at Otay's 1200-1 ReservoIr SIte executed on September 6,2000 (heremafter,
"Lease Agreement"),IS entered mto between the Otay Water DIstnct (heremafter,
"Otay")and Venzon WIreless (VAW)LLC,as the successor m mOOrest to Arrtouch
Cellular (heremafter."Tenant"),to be effective on the date the last party SIgnS,as
reflected on the signature page.
RECITALS
WHEREAS,the partIes entered into the Lease Agreement to prOVIde tenns and
conditions pursuant to wluch Tenant is allowed to construct and operate certaIn
commurucation facIhtles (as further descnbed m the Lease Agreement,the "Tenant
FactlitIes")on real property owned by Otay,and known to the partIes as the 1200-1
ReservOIr SIte (defIned ill the Lease Agreement andherem as,the "Reservolf SIte"),
WHEREAS,Tenant has completed the mstallatIon of the Lessee FaClhtles,IS
currently operatIng saId faCIlItIes,and IS m full comphance WIth the terms and condItions
ofthe Lease Agreement,
WHEREAS,Tenant deSIres to make certam nnprovements to the Tenant FacIhtIes
whIch were not contemplated under the Lease Agreement,consIstmg ofthe lllstallatIon,
mamtenance and operatIon of an emergency back-up generator and storage tank (the
"Generator")for the purpose of provldlllg contlllued commumcatIon services to the area
m the event of a power outage;
WHEREAS,the lllstallatlon of the Generator WIll reqmre modIfication of the
Tenant Faclhties and requues,or may reqUIre,constrnctlon,and the use of additIonal
ground space not ongmally contemplated m the Lease Agreement,and
WHEREAS,the Tenant and Otay deSIre to amend certam portIOns of the Lease
Agreement as proVIded m thIs Amendment,but only to the extent speCIfically stated
herem m connectIOn WIth the constructlon.mstallatlOn,mallltenance and operatIon ofthe
Generator
NOW THEREFORE,for good and valuable conSIderatIon,the receipt and

2 Use of the AddItIOnal Leased Prenuses Tenant shall use the AddItIonal Leased
Prermses (as defmed below)solely for the purpose of constructmg,InStallmg,
operatIng and mamtaimng the Generator and any other facIlIues appurtenant
thereto as approved ill wntmg by Otay.
a Tenant shall be responsIble for obtammg,and shall present to Otay copIes
of,all necessary pemuts,licenses,and any and all necessary approvals that
may be requIred for the constructIon,mstallatIon,operatIOn,and
mamtenance ofthe Generator mcludmg but not hrmted to land use permIts
and approved bUlldmg pernuts,all such pemuts shall be attached and
mcorporated hereto as ExhIbIt A
b Tenant shall subnut to Otay deSIgn speCIficatIons for the Generator,
mcludmg nOIse level studIes and fuel storage/contaIrunent detaIls.SaId
sublUlttal will be subject to Otay revlew and approval pnor to
constructIon.
3 ModIficatIon to the PremIses The descnptIon of the Prenuses provIded for m
Section I ofthe Lease Agreement IS hereby amended and lease area IS mcreased
to mclude an addItIonal 30 square feet,cOllSlstmg offifteen feet (15 ')by two feet
(2 ')of ground lease area (heremafter referred to as,the "AddttIonal Leased
Prenuses"),all as more particularly shown and depIcted ill the attached ExhIbIt B
which 1S mcorporated herem by thIs reference
4.Tenn.Unless earher termmated as prOVIded below,this Amendment shall remam
ill effect during the inItial term of the Lease Agreement and optIonal ex.tenslon
penods,If any,and shall run concurrently WIth the Lease Agreement ThIS

Agreement Tenant's obhgallon to pay the Additlonal Rent to Otay shall
commence upon the later of (1)the first day of the month followmg the date of
Issuance of Tenant's perrmt to construct the Generator at the AddItIonal Leased

be subject to the annual mcrease outlmed m the Lease Agreement
In addItIon,Tenant shall pay Otay the amount of$4,500 WIthIn thIrty (30)days of

6.No Interference.Tenant warrants and represents that none of Its actIVIties
pursuant to thts Amendment wIll mterfere WIth Gtay's actIVItIes at the ReservOIr

ated pursuant to the Water Code Bectl.on 71000,et seq.{II0tayll),
and Al.rTouch Cellular,a Cal~fornl.a corporatlon dba-Ver~zon
Wlreless ("Tenant").
R E CIT A L S
1.Otay owns a s~te on which l.t has constructed a water
reservOl.r known as the lI1200-1 Reservolr'l (Granl.te Hl.lls)as
shown on Exhl.bl.t A attached hereto and incorporated hereln by
reference (the "Reservoir S.lte").
2.Tenant has requested Otay to allow l.t to locate a com-
mUn.lCatlons facl.llty and transmltt.lng and reCe.lVlng antennas at
the Reservo.lr Sl.te

Otay and Tenant agree as follows:

2 .Use The Prem~ses may be used by Tenant for any law-
ful act~v~ty ~n connect~on w~th the prov~s~on of commun~cat~ons
serv~ces.Tenant agrees to obtaln all necessary land use
approvals Otay agrees,at no expense to Otay,to cooperate
wlth Tenant In maklng appllcat~on for and obtainlng all
llcenses,permlts and any and all necessary approvals that may
be requ~red for Tenant's lntended use of the Premls~s Sa~d use
shall not lnclude the rlght to sublease or provlde communicatlon
serv~ces to any other communlcatlons operator
3 Access.Otay shall provlde access to Tenant,Tenant's
employees,agents,contractors and subcontractors to the Prem-
~ses 24 hours a day,seven days a week,at no charge to Tenant
Otay hereby grants to Tenant such rlghts of lngress and egress
over Gtay'S Property as may be necessary and cons~stent wlth the
authorlzed use of the Prem~ses..Subject to Otay's reasonable
rules,Otay shall permlt Tenantls employees,agents,contrac-
tors,subcontractors and lnv~tees to park vehlcles on Otay's
Property as necessary and conslstent wlth the authorlzed use of
the Premlses.Otay shall,at lts expense,malntaln all access
roadways or dr~veways from the nearest publlc roadway to the
Prernlses In a manner reasonably sufflclent to allow access
4.Term.The term of thlS Lease shall be flve (5)years,
commenclng w~th the lssuance of a local bUlldlng perm~t allowlng
Tenant to construct ltS communlcatlons fac~lltles on the

Prem~ses or s~x months from the execut~on of this Lease,which-
ever ~s earl~er ("Commencement Date").Tenant shall have the
rlght to extend the term of the Lease for four (4)addltlonal
terms of f~ve (5)years each by g~v~ng Otay written notlce of
its ~ntentlon to do so at least 120 days prlor to the date that
the then current term would otherwlse end.
5 .Rent Beglnnlng upon the Commencement Date,Tenant
shall pay Otay as rent the sum of $2,000 per month,payable on
the flrst day of each month ln advance If the Commencement
Date 18 other than the flrst day of the calendar month,Tenant
shall pay on the flyst day of the term the prorated rent for the
remalnder of the calendar month ~n WhlCh the term commences.
The partles agree that the rent shall be adJusted annually
throughout the term of the Lease on each annlversary of the Com-
mencement Date (or the flrst day of the month In WhlCh such an-
nlversary occurs)beginnlng as of the first annlversary of the
Commencement Date by the percentage change in the most recent
publlshed Consumer Prlce Index (1982-84=100)Urban Wage Earners
and Clerlcal Workers -Los Angeles,Anahelm,Rlverslde (11 Index,r)
compared to the Index publlshed twelve (12)months earller.If
the Index lS dlscontlnued or changes so that 1t 18 1mpOSSlble to
obtaln a contlnuous measurement of prlce changes,the Index
shall be replaced by a comparable government lndex.

6.Environmental.Otay represents that to the best of
its knowledge the Prern~ses have not been used for the genera-
t~on,storage,treatment or d~sposal of hazardous mater~als
other than those materials normally used by Otay for the treat-
ment of water (and ln compl~ance with all Laws).Notw~thstand
lng any other prOV1Slon of this Lease,Tenant relles upon the
representatlons stated here~n as a material inducement for en-
ter~ng lnto thlS Lease.Tenant shall not brlng any hazardous
materlals onto the Premlses except for those contalned In lts
back-up power batterles (e.g.lead-acld batterles)and properly
stored,reasonable quantltles of common materlals used ln tele-
communications operatlons (e.g.cleanlng solvents).Tenant
shall handle,store and dlspose of all hazardous materials lt
brlngs onto the Premlses In accordance w~th all federal,state
and local laws and regulatlons ("Laws")IIHazardous materlals H
means any substance,chemlcal,pollutant or waste that 1S pres-
ently ldentlfied as hazardous,tOX1C or dangerous under any
appllcable federal,state or local law or regulation and
speclfically ~ncludes but 18 not Ilmited to asbestos and asbes-
tos conta~n~ng materlals,polychlor~nated blphenyl's (PCBs)and
petroleum or other fuels (lncludlng crude oll or any fractlon or
der~vat~ve thereof).
7.Improvements.Tenant shall have the rlght to con-
struct,malntaln and operate on the Premlses commun~cat~ons

fac~l~t~es as described ~n Exh~b~t B.Tenant shall not alter or
change ~ts fac~l~t~es ~n a material manner w~thout the pr~or
approval of Otay,such approval not to be unreasonably w~thheld,
cond~t~oned,or delayed.All of Tenant's constructlon and ~n
stallation work shall be performed at Tenant's sole cost and
expense 1n a good and workmanllke manner.Tenant shall have the
r~ght to remove all fac~l~t~es ~t ~nstalls at ~ts sole expense
on or before the exp~rat~on or term~natlon of this Lease
Tenant shall have the rlght to lnstall utllltles at Ten-
antIs expense and to lmprove the present utlilties on or near
the Premlses (lncluding,b~t not limlted to the lnstallation of
an emergency back-up power)subJect to Otay's approval of the
location,WhlCh approval shall not be unreasonably withheld,
condltloned,or delayed.Tenant shall have the rlght to place
util~tles on Otay's property ln order to service the Premises
and Tenant's facil1t~es.
Tenant shall fully and promptly pay for all ut~lities fur-
nished to the Premises for the use,operat~on and malntenance of
Tenant's fac~llt~es
8 Installat~on of Equlpment.Tenant's lnstallat~on of
all such antennae fac~1~t1es shall be done accord~ng to plans
reasonably approved by Otay wh~ch such approval shall not be un-
reasonably wlthheld,cond~tloned,or delayed Any damage done
to the reservo~r or reservo~r slte durlng lDstallatlon and/or

dur~ng operat~ons caused by Tenant shall be repa~red or replaced
~mmed~ately at Tenant's expense and to Otay's reasonable satis-
fact~on In connect~on w~th the ~nstallat~on and operation of
the antennae fac~l~t~es,Tenant shall not locate or attach any
antennae or other equ~pment to the reservoir tank wIthout the
prIor wrItten approval of Otay's Head of OperatIons or hIS des-
Ignee,WhIch approval shall not be unreasonably wit~held,condI-
tIoned,or delayed.The InstallatIon methods for attaching
antennas or other equIpment to the reservoIr tank must be done
in a manner that wIll ensure the cathodIc protectIon of the
reservoIr tank and all other faCIlItIes and equ~pment.Tenant
shall pay all costs and expenses In relatIon to maIntaInIng the
IntegrIty of Otay's reserVOIr In connectIon WIth Tenant IS
installatIon and operations of the antennae facIlItIes
WIthIn thIrty (30)days after the latter of the Commence-
ment Date or completIon of the antennae facIllt~es and all
Improvements,Tenant shall provlde Otay with lias bUJ.l t II draWIngs
of the antennae facllltles and the Improvements Installed on the
premIses,WhIch show the actual locatIon of all equIpment and
Improvements.Sa~d draWIngs shall be accompanIed by a complete
and detaIled Inventory of all equIpment,personal property and
antennae faCIlItIes.
9 Co-LocatIon.Tenant agrees that Otay may enter into
leases wIth other w~reless communIcatIons carrIers for use of

the IlReservo~r Slte ll as long as said leases do not result in
unreasonable lnterference with Tenant's use of the leased prop-
erty.Tenant wl11 reasonably cooperate wlth Otay's efforts in
thlS regard lncludlng relocat~on of its facll1ties at Otay's or
the new lesseels expense.
10.Condltlon of Property at Expiratlon.Upon the explra-
tlon or terrnlnatlon of thlS Lease,Tenant shall sur~ender the
Premises to Otay 1n good and broom-clean condltlon.
11 Interference.Tenant shall not use,nor shall Tenant
permlt ltS agents or inv~tees to use any portlon of the Premlses
1n a manner which lnterferes wlth Otay's use of the property for
water storage purposes lncluding cornrnunlcations facilltles re-
latlng to Otay's operatl0n such as telemetry/radlo communlca-
tlons.If Tenant's operat10n 1n any way lnterferes wlth Otay's
telemetry/radlo facillties,Tenant wlll promptly correct the
problem Tenant acknowledges that cont1nuing interference will
cause irreparable inJury to Otay and therefore Otay wlll have
the rlght to termlnate the Lease 1mmed1ately upon not1ce to Ten-
ant 1f such ~nterference does not result from a change in use or
operatlons by Landlord and 1f such cont1nulng lnterference does
not cease wlthln twenty (20)days followlng Tenant's recelpt of
wrltten notlce of such lnterference.
12.Taxes.Tenant shall pay personal property taxes as-
sessed agalnst Tenant's facllltles

13.Termlnatlon.
(a)ThlS Lease may be terminated by Tenant without further
llablllty If:
(1)Tenant delIvers to Otay 30-day written notIce at
any time prlor to the Commencement Date,for any reason or
no reasoni
(11)Tenant glves Otay SlX months notlce when Tenant
determlnes at any tIme after the Commencement Date that any
governmental or non-governmental llcense,permlt,consent,
approval.easement or restrlction waiver that ~s necessary
to enable Tenant to Install or operate Tenant's faclllty
cannot be obtaIned or renewed at reasonable expense or in
reasonable tlme perlod.
(Ill)Tenant determlnes at any tlme after the Com-
mencement Date that the PremIses are not approprlate or
sUItable for Its operatIons for economIC,envIronmental or
technologIcal reasons,IncludIng wIthout llmltatlon,any
ruling or directIve of the FCC or other governmental or
regulatory agency,or problems wlth slgnal strength or in-
terference not encompassed by subsectlon (IV)below,pro-
VIded that the rIght to termInate under ChIS subsectIon
(lli)IS exercIsable only If Tenant pays Otay,as a termI-
natIon fee,the lesser of twelve monthly Installments of

rent or the balance of the rent due for the rema~n~ng term
of thlS Leasei
(lV)Otay comm~ts a default under th~s Lease and fa~ls
to cure such default wlthln a 30-day not1ce perl0d,pro-
v1ded that 1£the perIod to dlligently cure takes longer
than 30 days and Otay commences to cure the default wlthin
the 30-day notlce perlod,then Otay shall have-such addi-
tIonal time as shall be reasonably necessary to dll~gently
effect a complete cure;
14.Destruct10n of Premlses If the Premises or Tenant's
faCll1t1es are destroyed or damaged!Tenant may elect to terml-
nate thIS Lease as of the date of the damage or destructIon by
so notIfyIng Otay no more than 30 days follow1ng the date of
damage or destructIon.
15 Condemnat1on If the condemnIng authorlty takes all
of Otay's property or a portIon Wh1Ch 1n Tenant IS 0p1n1on 1S
sufflClent to render the Prem~ses unsu1table for Tenant's use,
then thIS Lease shall term1nate as of the date when possesSl0n
~s dellvered to the condemnlng author~ty.In the event of any
takIng under the power of em~nent doma~n,Tenant shall not be
entltled to any port~on of the award pald for the tak1ng and
Otay shall recelve full amount of such award Tenant hereby ex-
pressly wa~ves any r~ght or clalm to any portlon thereof that
would dlmln~sh Otay's award.All damages,whether awarded as

compensatlon for dlffilnut10n In value of the leasehold or to the
fee of the Premises,shall belong to Otay.Notwlthstand1ng the
above,Tenant may apply for a separate award for Tenant's fix-
tures and other tanglble personal property,movlng expenses,
lost buslness,and leasehold lmprovements made or pald for by
Tenant.
16 Insurance.Tenant shall malntaln the following lnsur-
ance:
A Commerclal general ,llablllty wlth llmlts of
$2,000,000 per occurrence,
B.Automoblle llablllty wlth the combined slngle
llmit of $1,000,000 per accldenti
C.Worker1s compensatlon,as requlred by law;
D Employerts llablllty wlth Ilmlts of $1,000,000
per occurrence.
Tenant shall name Otay as an addltional lDsured on each of
the aforementloned lnsurance policies and the pollcles shall
state that they are prlmary and that any pollcies Otay maintalns
shall be noncontrlbutory.Tenant shall provlde Otay wlth wrlt-
ten certlflcates of lnsurance eVldenclng such coverages Sald
pollcles shall expressly provlde that the pollcles shall not be
canceled or altered wlthout at least 30 days prlor wrltten no-
tlce to Otay.Sald pollcles shall be wlth insurance companles
wlth an A M.Best ratlng of AVII or better.

Otay takes no responsibil~ty for the protectlon of Tenant's
property from acts of vandallsm by thlrd partles
17.Indemnity.Tenant shall hold harmless,indemnify and
defend Otay and each of Otayt s directors,offlcers,managers,
employees,agents and successors and assigns,from any and all
clalms,suits or actions of any klnd and descriptlon brought
forth on account of 1nJur1es to or death to any person or damage
to any property,lncluding damage to the Premlses arlslng out of
or related to lts use of the Premlses,except to the extent that
such clalms,suits or actlons arlse out of the sole negllgence
or wlilful misconduct of Otay.
18.Estoppel Certlflcate.Tenant shall,at any time and
from time to tlme upon not less than twenty (20)days prlor re-
quest by Otay,dellver to Otay a statement in writlng certlfylng
that (a)the Lease 1S unmodifled and 1n full force (or if there
have been modificatlons,that the Lease 18 ln full force as
modlfled and ldentlfy1ng the modlflcat~ons)(b)the dates to
wh1ch rent and other charges have been pald;(c)as far as the
person making the certlflcate knows,Otay 18 not ln default un-
der any provislons of the Lease (unless Tenant belleves Otay 1S
1n default,In WhlCh case the reason for sald default shall be
noted);and (d)such other matters as Otay may reasonably re-
quest.

19.Ass~gnment.Tenant shall not aSSlgn thlS Lease w~th
out Otay's pr10r wrltten consent,Wh1Ch consent shall not be un-
reasonably withheld,condit~oned,or delayed.Notwithstand~ng
the above,Tenant shall have the r1ght to ass~gn thlS Lease
wlthout Otayts approval (1)to any parent,subsldiary,or af-
fll1ate entity,(11)to any successor 1n 1nterest of all or sub-
stantially all of the assets,stock or buslness of Tenant to
Wh1Ch thlS Lease pertains,(11i)to any other ent1ty to WhlCh
Tenant transfers ownershlp of,and/or manage~ent responslbll1ty
for,a maJority of lts antenna support towers ln the market ln
which the fac111ty ~s located,or (lV)to any partnershlp or en-
tlty resultlng from that certaln U.S.W~reless Aillance Agree-
ment between Vodafone A1rTouch PIc.and Bell Atlantlc Corpora-
tlon.A person,assoc1atlon,partnership,corporat1on or JOlnt-
stock company,trust,or other bus1ness entlty,however organ-
ized,18 an afflliate of the person or entity WhlCh d~rectly or
1ndirectly,through one or more lntermediaries,controls,or
controlled by,or 1S under common control wlth,such person.
Control shall be deflned as (1)ownersh1p of 20%or more of the
vot1ng power of all classes of vot1ng stock or (11)ownersh1p of
20%of more of the beneflc1al 1nterests In lncame and capltal of
an entlty other than a corporatlon
20.Resolutlon of Dlsputes.All controverSles or claims
arlslng out of or relatlng to thlS Lease shall be resolved by

submLssLon to f~nal and bLnding arbitratLon at the offLces of
the AmerLcan ArbLtratLon ASsoCLatLon (IIMA")located in San
DLego,CalLfornLa.Such arbLtration shall be conducted In ac-
cordance wlth the most recent version of the AAA commerclal
arbLtratLon rules The prevaLILng party Ln any such arbitration
shall be entLtled to recover all costs and expenses,includLng
reasonable attorneys·fees provlded that the recovery exceeds
the last offer to settle made prlor to lnltlation of arbltratlon
by the other party.Notwlthstandlng the above,partles shall
each have the rlght to flle with a court of competent Jurisdlc-
